These Terms of Service (“Terms”) govern your access to and use of the websites, services, memberships, accounts, content, communications, purchases, and related offerings provided by Tool Leaks LLC (“Tool Leaks,” “Company,” “we,” “us,” or “our”).

By accessing the site, creating an account, joining a membership, placing an order, or otherwise using any part of our services, you agree to be bound by these Terms. If you do not agree, do not use the site or services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use this site, create an account, purchase products, or maintain a membership.

By using the site, you represent and warrant that:

you are at least 18 years old;
the information you provide is true, accurate, and current;
you will use all products purchased through Tool Leaks lawfully, safely, and in accordance with all manufacturer instructions, warnings, and applicable laws;
you are not using the site on behalf of any person or entity barred from receiving services under applicable law.

2. Nature of the Platform

Tool Leaks is a private membership-based online marketplace and purchasing platform. We provide access to tools, shop equipment, accessories, related products, member-only pricing opportunities, and curated buying opportunities.

Tool Leaks is not the manufacturer of most products listed on the platform. We do not design, build, test, certify, repair, or guarantee most third-party products sold through the site. Product information may be supplied by manufacturers, brands, vendors, distributors, partners, or other third parties, and we do not independently verify all such information.

3. Account Registration and Security

You may be required to create an account to access certain features, memberships, pricing, or purchases. You are solely responsible for:

maintaining the confidentiality of your account credentials;
restricting access to your account and devices;
all activities that occur under your account.

You must notify us immediately at support@toolleaks.com if you suspect unauthorized access, credential compromise, or account misuse.

We reserve the right to suspend, restrict, or terminate any account at any time for security, fraud prevention, policy enforcement, suspected abuse, or any lawful business reason.

4. Membership Terms

Certain site features, pricing, offers, and purchasing opportunities may be limited to members with an active membership in good standing.

By enrolling in a membership, you agree that:

membership access is personal to the account holder unless expressly approved by Tool Leaks in writing;
membership benefits may be changed, limited, suspended, or discontinued at any time;
membership may be denied, revoked, or terminated for violation of these Terms, suspected abuse, nonpayment, fraud concerns, misuse of protected pricing, or conduct harmful to Tool Leaks or its supplier relationships;
membership fees, if any, are billed as disclosed at checkout or enrollment.

If your membership renews automatically, you authorize Tool Leaks to charge your selected payment method in accordance with the terms presented at sign-up until you cancel. Cancellation rights and procedures will be governed by the checkout and account terms then in effect.

5. Confidential Member Pricing and Protected Business Information

Tool Leaks provides access to private, member-only pricing, protected supplier offers, curated buying opportunities, and non-public commercial terms. These are confidential and proprietary business assets that help protect Tool Leaks’ supplier, distributor, and manufacturer relationships.

As a condition of using the site or maintaining a membership, you agree that you will not, directly or indirectly:

publicly post, publish, broadcast, disclose, or distribute member-only pricing, buy prices, protected discounts, private offer terms, or non-public deal structures;
share screenshots, recordings, exports, copied listings, scraped data, or other reproductions of protected member pricing or non-public commercial terms outside of authorized private use;
scrape, crawl, harvest, index, data-mine, mirror, or systematically extract pricing, product, supplier, inventory, or offer data from the site;
use the site or protected pricing to interfere with, embarrass, pressure, damage, or disrupt Tool Leaks’ relationships with manufacturers, suppliers, distributors, brands, or partners;
misrepresent yourself as an authorized reseller, distributor, or agent of Tool Leaks or any supplier.

Nothing in this section is intended to prohibit lawful, honest consumer reviews about your experience with Tool Leaks or products purchased through the platform. However, confidential member pricing, non-public offer terms, and protected business information are not public consumer review content and remain subject to these Terms.

Violation of this section may result in immediate account suspension, membership termination, order cancellation, denial of future service, legal action, injunctive relief, and recovery of damages, costs, and attorneys’ fees where permitted by law.

6. Orders, Pricing, and Availability

All products, prices, descriptions, inventory levels, offers, and shipping estimates are subject to change without notice.

Tool Leaks reserves the right, at any time and for any reason, to:

correct pricing, listing, image, description, or inventory errors;
limit quantities;
reject, refuse, or cancel any order;
restrict sales by geography, account, product, order history, or membership status;
require additional verification before accepting or shipping an order.

Submission of an order does not guarantee acceptance. An order is not accepted until Tool Leaks chooses to process it.

7. Product Information; No Technical or Safety Advice

All content on the site is provided for general informational and commercial purposes only. It is not engineering advice, safety advice, technical guidance, installation advice, workplace compliance advice, or professional instruction.

Tools, power tools, shop equipment, accessories, batteries, electrical items, and related products may be dangerous if improperly selected, installed, maintained, stored, or used. You are solely responsible for:

reading and following all manufacturer instructions, labels, warnings, manuals, and safety guidance;
verifying product compatibility, fitment, and intended use;
obtaining proper training and supervision where appropriate;
using proper protective equipment and safe work practices;
complying with all laws, regulations, codes, and safety standards applicable to your purchase and use.

8. Manufacturer Warranties; No Tool Leaks Warranty

Unless Tool Leaks expressly states otherwise in writing, products sold through the platform are covered only by the applicable manufacturer’s warranty, if any.

You agree that:

warranty claims;
defect claims arising after delivery;
product failures;
repair claims;
recall participation;
post-sale performance issues

must be directed to the manufacturer and handled under the manufacturer’s warranty process.

Tool Leaks is not the warrantor for most products sold through the site. We may provide order documentation to assist with a manufacturer claim, but we do not assume responsibility for the manufacturer’s warranty process, warranty decisions, repairs, replacements, or recall administration. Federal warranty law can limit disclaimer language when a seller offers its own written warranty or certain service contracts, which is why these Terms apply only to the maximum extent permitted by law.

9. Assumption of Risk

By purchasing, receiving, handling, installing, or using any product sold through Tool Leaks, you acknowledge that tools and shop products can cause injury, death, fire, electrical shock, cuts, crushing injuries, projectiles, burns, chemical exposure, property damage, and other serious harm.

To the maximum extent permitted by law, you voluntarily assume all risks arising out of or relating to:

product selection;
compatibility decisions;
improper installation;
improper maintenance;
misuse;
failure to follow instructions or warnings;
unauthorized modification;
operation in unsafe conditions;
use by untrained or unauthorized persons.

10. Release

To the maximum extent permitted by law, you release Tool Leaks LLC and its owners, managers, members, officers, directors, employees, contractors, service providers, fulfillment providers, affiliates, licensors, agents, and partners from claims, demands, liabilities, damages, losses, and causes of action arising from misuse, improper installation, failure to follow warnings, unauthorized product modification, or use contrary to manufacturer instructions.

Nothing in this section excludes liability to the extent such exclusion is prohibited by law.

11. Returns, Refunds, and Shipping

All purchases are subject to our posted Return and Refund Policy and Shipping Policy, each of which is incorporated into these Terms by reference.

12. Prohibited Conduct

You agree not to:

use the site for unlawful purposes;
engage in fraud, chargeback abuse, refund abuse, serial-number switching, or product swapping;
scrape or harvest site data;
upload malicious code, bots, malware, or harmful scripts;
interfere with site security, performance, or access controls;
impersonate another person or entity;
violate the rights of Tool Leaks, suppliers, manufacturers, customers, or third parties;
resell or redistribute products in violation of brand restrictions, MAP restrictions, supplier restrictions, or other published limitations if disclosed;
use the site in a way that creates legal, reputational, operational, or supplier-risk exposure for Tool Leaks.

13. Intellectual Property

All site content, including text, graphics, layouts, icons, software, design elements, branding, trademarks, logos, compilations, and other materials, are owned by Tool Leaks or its licensors and are protected by applicable intellectual property laws.

No right, title, or license is granted except the limited, revocable right to access and use the site for personal or internal business purchasing purposes in compliance with these Terms.

14. Communications Consent

By creating an account, placing an order, joining a membership, or submitting contact information, you consent to receive communications from Tool Leaks electronically, including by email and through your account.

You also consent to receive transactional and service-related communications relating to your account, orders, payments, returns, fraud review, and membership status. Marketing communications are subject to any required consent and opt-out rights under applicable law.

15. Privacy

Your use of the site is also governed by our Privacy Policy. By using the site, you acknowledge that Tool Leaks may collect, use, disclose, and process your information in accordance with that policy.

16. Suspension, Termination, and Refusal of Service

Tool Leaks may, at any time and without prior notice, suspend, restrict, cancel, or terminate:

any account;
any membership;
any order;
access to pricing, offers, or site features;
the right to purchase from the platform

for violation of these Terms, suspected fraud, misuse of protected pricing, chargeback abuse, threats to supplier relationships, legal risk, security risk, nonpayment, or any other lawful business reason.

Termination does not waive any rights or remedies Tool Leaks may have.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, MEMBERSHIP, CONTENT, AND SERVICES PROVIDED BY TOOL LEAKS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED ACCESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOL LEAKS DOES NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECURE, AVAILABLE AT ALL TIMES, OR FREE OF DEFECTS, VIRUSES, OR HARMFUL COMPONENTS.

THIS SECTION APPLIES ONLY TO THE EXTENT PERMITTED BY LAW AND DOES NOT OVERRIDE NON-WAIVABLE CONSUMER RIGHTS OR WARRANTY OBLIGATIONS THAT MAY APPLY IN A PARTICULAR JURISDICTION.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOL LEAKS’ TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY CLAIM, ORDER, PRODUCT, MEMBERSHIP, SERVICE, OR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TOOL LEAKS FOR THE SPECIFIC PRODUCT, ORDER, OR SERVICE GIVING RISE TO THE CLAIM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOL LEAKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR COST OF SUBSTITUTE GOODS OR SERVICES.

Some jurisdictions do not allow limitation of certain damages, so portions of this section may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless Tool Leaks LLC and its affiliates, members, managers, officers, directors, employees, contractors, fulfillment partners, service providers, agents, and licensors from and against any claims, actions, liabilities, losses, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

your breach of these Terms;
your misuse of products;
your violation of law;
your infringement of any third-party rights;
your disclosure or misuse of protected member pricing or non-public business information;
your fraud, chargeback abuse, refund abuse, or account abuse.

20. Dispute Resolution; Arbitration; Class Action Waiver

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, your account, your membership, your purchase, your use of the site, or any product or service purchased through Tool Leaks shall be resolved by binding individual arbitration, and not in court, except that either party may bring an eligible claim in small claims court and Tool Leaks may seek injunctive or equitable relief in court for misuse of confidential pricing, intellectual property, scraping, data misuse, or other violations causing irreparable harm.

You and Tool Leaks each waive any right to a jury trial and any right to participate in a class action, class arbitration, mass arbitration, private attorney general action, or other representative proceeding, to the maximum extent permitted by law.

The arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable consumer or commercial rules, as appropriate, unless the parties agree otherwise. AAA maintains consumer arbitration rules, fee schedules, and a consumer clause review framework for businesses using consumer arbitration clauses.

Governing Law: These Terms shall be governed by the laws of the State of Montana, without regard to conflict-of-law principles.

Venue for permitted court actions: Flathead County, Montana.

21. Force Majeure

Tool Leaks shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including supply disruptions, labor shortages, carrier failures, cyber incidents, utility outages, natural disasters, governmental actions, war, terrorism, civil unrest, epidemics, pandemics, weather events, or acts of God.

22. Electronic Records and Signatures

You agree that electronic agreements, notices, disclosures, records, and signatures satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

23. Changes to Terms

Tool Leaks may revise these Terms at any time by posting an updated version on the site. The updated Terms become effective on the stated effective date. Your continued use of the site or services after updated Terms are posted constitutes acceptance of the revised Terms.

24. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

25. No Waiver

Failure by Tool Leaks to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

26. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Return and Refund Policy, and any other posted policies or terms expressly incorporated by reference, constitute the entire agreement between you and Tool Leaks regarding the site and services, except where superseded by a signed written agreement.
